Reporting to the CEO, the General Counsel will provide strategic and operational leadership on all legal matters pertaining to the Company. The General Counsel will oversee work completed by outside counsel and other external partners to ensure appropriate management of risk and alignment to Mineralys objectives and priorities. As a member of the Executive Team, the General Counsel will act as a key advisor to the CEO and will contribute to the development and execution of corporate objectives and strategy.
Specific responsibilities will include:
Oversight of the legal function. Development and implementation of legal strategy.
Acting as a trusted advisor to the CEO and Board of Directors, providing clear and high-quality insights on legal and broad-based business issues.
Full participation as a member of the Executive Team, contributing expertise and insights on a variety of business matters.
Identification and management of appropriate resources, both internal and external, to address legal matters relating to patent, IP, employment law, and transactions, as well as compliance programs and standards.
Act as legal representative on SEC reporting requirements, contributing to the drafting and review of reports and filings.
Leadership of all aspects of contracts management, including drafting, reviewing, negotiating, and managing business contracts, CDAs, NDAs, employment agreements, clinical trial agreements, and other agreements as required.
Proactively identify and mitigate legal risks, partnering with key stakeholders to develop and implement solutions.
Requirements
J.D. from an accredited law school
Experience in legal leadership role in the biotech/pharmaceutical industry
Prior experience as a public company General Counsel, Deputy General Counsel or similar legal leadership position
Demonstrated experience providing strategic and operational leadership on a variety of complex legal and business matters
Demonstrated deep knowledge of the biotech environment, including drug development processes, regulatory approval process (US and ex-US), and commercialization
Exceptional oral and written communication skills
Outstanding interpersonal skills and demonstrated ability to collaborate effectively
Demonstrated success working in fast-paced and changing environment
