Have responsibility for general legal matters, including commercial legal advice and contracts, in support of the ecommerce logistics segment of Pitney Bowes, which includes parcel logistics, fulfillment and related services, and cross-border transactions.
Be responsible for supporting other corporate functions or business units as may be requested from time to time.
Will work both independently and under the supervision of the business unit lead counsel.
Draft, review and negotiate complex agreements, both U.S.-based and with international partners and clients, including structuring and negotiating global master agreements with Fortune 100 companies, parcel logistics and fulfillment agreements, complex licensing and services agreements, OEM/Technology in-licenses, web based terms and conditions, reseller and distribution agreements, payments-related agreements, non-disclosure agreements and various other types of agreements.
Advise business unit clients regarding various legal matters and potential disputes.
Work on general commercial matters for the business unit, both independently and with other members of the Legal Department.
Communicate and negotiate with clients and vendors.
Evaluate and act on compliance needs.
Work on special projects with senior management and other members of the Legal Department.
Consult with subject matter experts, internal and external, as needed.
Manage outside counsel.
As Assistant General Counsel you should have:
A minimum of 6-10 years of commercial legal experience with background and interpersonal skills necessary to function successfully in a challenging position.
A background that ideally includes a combination of law firm training and in-house counsel experience.
A diverse corporate legal background, including negotiation experience, general corporate exposure to sophisticated corporate matters, and success in a fast-paced and challenging environment.
Demonstrated ability to work on a wide range of complex commercial transactions and go-to-market alliances, preferably related to a range of technologies, products and services, including technology/software licensing and web-based offerings, including ecommerce-related solutions and data privacy.
Cross-border international experience, including for example, experience in a legal environment supporting operations for a global company with frequent dealings with transactions/issues in multiple jurisdictions.
Experience in fulfillment, FDA and/or other regulatory and compliance segments, transportation and/or logistics is a plus.
A law degree from an accredited United States law school and be a member in good standing of the bar of a US State or District of Columbia.
