I am working with a specialist mutual insurance firm to find a compliance and legal specialist to fill a hybrid (75%) Company Secretary - (25%) Compliance role in North London - Hertfordshire.
My client is looking for a deputy company assistant (deputy co-sec), with a developed knowledge of compliance frameworks, for a permanent contract based in the north of London - ideally starting before the end of the year. You will be responsible for advising and supporting the board, Head of Compliance, and Company Secretary in regulatory and statutory requirements.
Daily, you will be part of a team of three, including a risk analyst and your direct report - the head of Compliance and Risk, who you will aid with your expertise in compliance. Furthermore, on a less regular basis, you will also report to the company secretary, addressing your company secretarial duties.
The duties of this role may include:
Advising the Directors and the Board members on complex Company Secretarial and Corporate Governance matters
Management of the SM&CR Processes
Responsibility of the AGM, Board, and Board Committee meetings; involving the preparation of agendas, coordinating papers, producing minutes, and recording and tracking resolutions and decisions.
Assist the Head of Compliance to undertake regulatory Compliance monitoring reviews.
Liaise with the Regulators on Issues arising with applications and queries.
The Ideal Candidate
The ideal candidate for the deputy company secretary - compliance role's application will be highlighted by either a full company secretary qualification, or evidence that you are in the process of attaining the qualification. Experience of working within a similar role, strong General Insurance knowledge and wider Corporate Governance/Co Sec understanding. Furthermore, an ideal candidate will have experience within the insurance field, specifically a mutual insurance fund.
