We are currently searching for an experienced Manager of Contracts and Compliance to plan, develop, and lead organizational contract administration, compliance, governance, and certification efforts. S/he will provide cross-functional support and assistance to all efforts associated with contract management and compliance. The Manager, Contracts and Compliance will oversee and manage the development, negotiation and execution of contracts while ensuring compliance with all contract requirements.
The essential job functions of the position include:
Directs the development, maintenance, and enhancement of organizational structures for contract tracking, retention and storage; language review; contract negotiation activity; and contract documentation
Provides guidance to operations and corporate leadership on complex contractual issues
Directs preparation, review, and negotiation of teaming agreements, non-disclosure agreements, contracts, subcontracts and amendments
Oversees the development and maintenance of small business subcontracting plans
Directs the negotiation of corporate-wide vendor contracts and agreements.
Directs the application of risk management best practices, including the procurement of insurance and bonds in accordance with contract terms and legal requirements
Serves as the Corporate Compliance Officer and directs ethics and compliance program activities related to conflict of interest, contract compliance, required disclosure and reporting, and subcontractor compliance
Ensures compliance with contractual and legal requirements; acts as liaison with external counsel as appropriate for legal guidance
Leads the analysis of contracts, requests for proposals, and proposal responses for organizational conflicts of interest (COI), risk management, efficiencies, best practices, and operational opportunities
Oversees the corporate-wide coordination of policies, including internal compliance audits
Develops and maintains a secure, password-protected Board website
Drafts organizational documents for review and approval by the Board
Creates and maintains a governance dashboard to monitor Board compliance with bylaws, term limits, and contractual requirements
Oversees the Quality Insights ISO 9001:2015 Quality Management System (QMS) program
Ensures QMS conformance, promotes customer focus, and reports on QMS performance
Plans and manages internal and external ISO-related audits

Skills / Professional Competencies Required:
Demonstrated understanding of contracts and procurement is required, including working knowledge of contracting concepts and applicable regulations based on contract type (i.e., indefinite delivery indefinite quantity, cost reimbursement, time-and-materials, fixed price, grants, cooperative agreements, etc.).
Ability to research, understand, interpret, and implement federal contract and regulatory requirements, including Medicare statutes, Federal Acquisition Regulation, and CMS manuals
Demonstrated analytical and communication skills are required.
Ability to use independent judgment and apply creativity to the resolution of problems is required.
Ability to build partnerships with senior leadership and management staff to advance contract compliance efforts and to achieve business objectives is required.
Proficiency with planning, budgeting, contract language development, report writing, and project management is preferred.
Minimum Education/Training Required:
JD Degree or Master's degree in business or related field is required
Minimum Experience Required:
At least five (5) years of progressive responsibility with contracts, compliance, and procurement
Certified Professional Contract Manager (CPCM) and Certified Compliance and Ethics Professional (CCEP) preferred
