Responsible for supporting the CLSA Capital Partners ("CLSACP") Transaction Management Team in the daily activities of the CLSA Capital Partners investment management / advisory and private equity business in Asia including providing a range of support on legal and compliance, regulatory and corporate secretarial matters. This position will be based in Hong Kong.
Work closely with the Chief Operating Office of CLSACP and VP, Transaction Management of CLSACP as well as CITICS CLSA Group Legal & Compliance function to assist in certain regulatory and compliance implementation and monitoring related to CLSACP investment management / advisory and PE platform.
Assist with legal matters such as document review from legal perspective (eg NDAs, letters of engagement, term sheet, due diligence reports, investment agreements and fund documentation).
Assist with CLSACP entity corporate secretarial matters including preparation of board resolutions, CoSec notices, declarations and forms, arranging for filing and liaising with external corporate secretarial service providers.
Assist in the internal approval process on corporate and transactional matters.
Assist with internal compliance matters such as conflict clearance, client onboarding, AML and KYC clearance and directorship reporting.
Assist with regulatory filings including periodic annual filings and CSRC approval applications.
Assist with filings of agreements with internal central depository / file storage system.
Assist with periodic internal audits, regulatory requests and various management reporting.
Take day-to-day project management and execution responsibility for special projects.
4 to 7 years' experience in legal and compliance. LLB or other legal qualifications required.
Ability to work independently and a good team player.
Investment management / advisory and PE experience preferred.
Strong analytic skills with ability to assimilate complex information.
Excellent interpersonal, communications, presentation and negotiation skills.
Strong project and stakeholder management skills.
Fluent spoken English, Mandarin and Cantonese. Written English and Chinese skills are essential
